ANNEX IX — AIMÊ CREDITS SYSTEM AND AI SERVICES POLICY

DOCUMENT INFORMATION

GENERAL APPLICABILITY

Unless expressly stated otherwise, all sections of this Annex apply equally to Love Partners, Love Creators, and Lovelikers ("Users").

ENHANCED LIABILITY PROTECTION FRAMEWORK

This version maximizes liability protection under Delaware law and applicable federal regulations while maintaining enforceability, clear disclosures, and updated AIMÊ Credits bonus rules.

1. AIMÊ CREDITS SYSTEM FOR LOVE PARTNERS

1.1 Types of AIMÊ Credits

• Subscription Credits (Discretionary Monthly Bonus): Love Partners who are active participants in the AI Training Program (as defined in the Terms of Service) may receive 50,000 AIMÊ Credits at the start of each new paid subscription cycle, at Lovelike's sole discretion, per Section 1.5.

• Earned Credits (Performance Rewards): May be awarded for goals and milestones under future programs such as Glow Arena or official platform campaigns, if and when such programs are launched. Availability is not guaranteed and will be communicated via updated Terms if introduced.

• Purchased Credits (Top‑up): Purchased via dashboard packages at any time.

1.2 Consumption Hierarchy (User‑First Principle)

Automatic "waterfall" order: (1) Subscription Credits; (2) Earned Credits; (3) Purchased Credits. Credits with the soonest expiration are consumed first to preserve long‑term balances.

1.3 Validity and Expiration

(a) Subscription Credits: Perishable; expire in full at the end of the applicable billing or allocation cycle in which they are granted (as specified in Sections 1, 1A, and 1B for each User type); no rollover.

(b) Earned and Purchased Credits: Non‑perishable while the account remains active and in good standing with an active subscription (for Love Partners and Love Creators, per Section 1.6). They may be suspended during account holds or investigations. Upon permanent account closure, see Section 22.1.

1.4 Non‑Transferability

All credits are non‑transferable, tied to the User's account, and may not be sold, assigned, donated, or shared across accounts, brands, or third parties.

1.5 Discretionary and Non‑Obligatory Nature of Bonuses

The grant, amount, eligibility, criteria, and continuity of any AIMÊ Credits bonuses (including the 50,000 for Love Partners) are determined solely by Lovelike and may be modified, suspended, or terminated at any time, with or without notice, to the extent permitted by law.

Bonuses do not constitute a contractual obligation, are not part of the subscription price, create no legitimate expectation of continuity, and may vary by plan, region, category, risk profile, or internal policies. This reservation applies especially to brands that pay monthly subscriptions.

These promotional bonuses are discretionary and subject to Sections 1.5 and 13; Lovelike may modify, suspend, or terminate them at any time, with or without notice, to the extent permitted by law and consistent with the Notification Policy.

1.6 Active Subscription Requirement

(a) Love Partners and Love Creators must maintain active subscription status (monetary for Love Partners per Annex IV Section 1; activity-based for Love Creators per Annex IV Section 1A) to be eligible to earn and use AIMÊ Credits on the Platform.

(b) If a Love Partner's or Love Creator's subscription expires, lapses, is suspended, or is terminated for any reason:

(i) All unexpired Subscription Credits in the account are immediately forfeited;

(ii) Earned Credits and Purchased Credits are preserved in the account but frozen — they may not be consumed, transferred, or applied to any Platform service until the subscription is reactivated;

(iii) New bonus allocations cease immediately;

(iv) The User may reactivate their subscription at any time, subject to account eligibility and good standing requirements, to restore access to frozen credits; (for Love Partners, by resuming subscription payments per Annex IV Section 1; for Love Creators, by completing the applicable monthly activity requirements per Annex IV Section 1A.6)

(v) Upon permanent account closure or termination, Section 22.1 applies.

(c) This requirement does not apply to Lovelikers, whose credit eligibility and usage are governed exclusively by Section 1B and the applicable Terms.

(d) Nothing in this section entitles Users to a refund of subscription fees or credit purchase amounts upon subscription lapse or termination, except as provided in Section 12.4.

1A. AIMÊ CREDITS SYSTEM FOR LOVE CREATORS

1A.1 Monthly Allocation

Love Creators with active subscription status (per Annex IV and Section 1.6) receive 50,000 AIMÊ Credits at the start of each calendar month, contingent upon the cumulative satisfaction of ALL of the following conditions:

(a) Active Subscription Status. The Love Creator must maintain active subscription status through compliance with the Promotional Content Obligation set forth in Annex IV Section 1A.2.1, which requires the creation and publication of a minimum of two (2) original, high-quality promotional publications per Maintenance Period (rolling 30-day cycle). Loss of active subscription status due to non-compliance with the Promotional Content Obligation results in immediate forfeiture of Subscription Credits and freezing of Earned and Purchased Credits per Section 1.6.

(b) Active Participation in the MY AIMÊ AI Training Program. The Love Creator must be actively enrolled in, and continuously participating in, the MY AIMÊ AI Training Program as defined in Terms of Service Section 7.5 and Section 3.3 of this Annex IX. Enrollment in MY AIMÊ is verified at the time of each monthly credit allocation. Love Creators who are not enrolled in MY AIMÊ at the time of allocation do NOT receive the 50,000 credit bonus for that cycle, regardless of subscription status.

(c) Cumulative Requirement — Neither Condition Alone is Sufficient. For the avoidance of doubt, the 50,000 monthly AIMÊ Credits bonus requires BOTH active subscription status (condition (a)) AND active MY AIMÊ participation (condition (b)). A Love Creator who maintains active subscription status through promotional publications but is not enrolled in MY AIMÊ does NOT receive the bonus. A Love Creator who is enrolled in MY AIMÊ but has lost active subscription status due to non-compliance with the Promotional Content Obligation does NOT receive the bonus and has all credits frozen per Section 1.6.

(d) Discretionary Nature. This benefit is discretionary and subject to Section 1.5. Lovelike may modify, suspend, or terminate the bonus at any time, with or without notice, to the extent permitted by law.

(e) Credits as Sole AI Access Method. Love Creators who do not receive the monthly bonus allocation (whether due to non-compliance with condition (a), non-enrollment in condition (b), or both) may still access AI-powered Platform features by purchasing AIMÊ Credits at standard rates, subject to active subscription status per Section 1.6. No AI feature is accessible without credit consumption.

1A.2 Nature and Validity

Classified as Subscription Credits; expire 30 days after the date they are granted; no rollover.

1A.3 Additional Credits

(a) Purchased Credits (Top‑up): Available anytime; non‑perishable (see 1.3(b)); subject to active subscription requirement (Section 1.6).

(b) Earned Credits (Rewards): May be granted for goals and milestones via future programs such as Glow Arena or official campaigns, if and when such programs are launched; non‑perishable (see 1.3(b)).

1A.4 Applicability

Unless expressly stated otherwise, all sections of this Annex apply equally to Love Partners, Love Creators, and Lovelikers.

1B. AIMÊ CREDITS SYSTEM FOR LOVELIKERS

1B.1 Discretionary Periodic Bonus

Lovelikers who are active participants in the AI Training Program may receive 50,000 AIMÊ Credits every 30 days of active enrollment, at Lovelike's sole discretion, subject to eligibility verification, activity requirements, and internal policies, per Section 1.5.

1B.2 Nature and Validity

Credits granted under this section are classified as Subscription Credits and expire in full at the end of the applicable 30‑day period; no rollover.

1B.3 Other Acquisition Methods

Lovelikers may also obtain credits through: (i) qualifying activities, if and when available; (ii) direct purchase; and (iii) future incentive programs, where eligible. Non‑perishable credits may expire without refund upon closure or termination, except where required by law or under Section 12 exceptions.

2. COMPREHENSIVE AIMÊ CREDITS ACQUISITION CONDITIONS

2.1 Overview

In addition to the discretionary allocations in Sections 1, 1A, and 1B, Users may obtain additional credits through direct purchase and, in the future, through incentive programs if and when such programs are launched.

CRITICAL ELIGIBILITY REQUIREMENT: All promotional AIMÊ Credits bonus allocations described in this Annex (including but not limited to Sections 1, 1A, and 1B) are strictly conditional upon the User's active and continuous participation in the AI Training Program as defined in the Terms of Service and Section 3.3 of this Annex. For Love Partners and Love Creators, active subscription status is additionally required per Section 1.6.

Users who opt out of the AI Training Program:

• Maintain full access to all core non-AI Platform features

• May purchase AIMÊ Credits at standard rates (subject to active subscription requirement for Love Partners and Love Creators per Section 1.6)

• Forfeit eligibility for ALL bonus allocations (subscription bonuses and any future activity-based bonuses)

• Receive standard (non-enhanced) AI analysis and insights

All bonus allocations are promotional, discretionary, and may be modified, suspended, or terminated by Lovelike at any time, with or without notice, to the extent permitted by law. They do not create contractual rights or entitlements.

2.2 Verification and Allocation

• Continuous monitoring of account status, subscription status, and activity for automatic verification of bonus eligibility.

• Allocation within 24–48 hours after verification; no manual request needed.

• Reset at each new billing or allocation cycle; eligibility and the number of credits may vary by current internal policies.

2.3 Alternative Acquisition Methods

• Direct Purchase: Via dashboard with real‑time balance updates and secure processing. Love Partners and Love Creators must maintain active subscription status to purchase and use credits (Section 1.6).

• Bonus Programs: Lovelike may, at its sole discretion, introduce promotional campaigns, milestones, or performance-based incentive programs in the future (see Section 2.4).

2.4 Future Activity Bonuses and Platform Features

Lovelike may, at its sole discretion, introduce additional activity-based bonuses tied to features such as marketplace sales (Lovelike Shop), contracted campaigns, engagement programs (Glow Arena), or other Platform features. These features have not been launched as of the Effective Date and may never be launched.

If and when such features and associated bonuses are introduced:

(a) Applicable bonus structures, eligibility criteria, thresholds, and terms will be communicated through updated Terms of Service, Annex amendments, and in-platform notifications, subject to the Notification Policy (Sections 12.5 and 13).

(b) All future activity bonuses will be subject to the same discretionary and non-obligatory nature described in Section 1.5.

(c) Eligibility for future activity bonuses will require active and continuous participation in the AI Training Program and, for Love Partners and Love Creators, active subscription status per Section 1.6.

(d) No User shall have any expectation of, or entitlement to, future activity bonuses or future Platform features based on this Agreement.

3. DATA, CONTENT, AND THE AIMÊ AI ECOSYSTEM

3.1 Definitions

User Content; Activity Data; AI Configuration Data; Personal Data (as per Terms of Service/Privacy Policy).

3.2 Mandatory License for Platform Operation

Limited, non‑exclusive, worldwide, royalty‑free license to use/process User Content, Activity Data, and AI Configuration Data solely to:

• operate core services;

• personalize AIMÊ;

• enable matchmaking;

• display per settings;

• generate analytics for the user;

• ensure security/fraud prevention;

• verify credit conditions;

• compute rewards.

The processing activities described in this Section 3.2 constitute strictly necessary operational personalization for the provision of the service and are distinct from any sale/sharing for cross‑context behavioral advertising. Third parties involved act solely as service providers/processors, with no right to train general models on user data, except with specific user consent (AI Training Program).

3.3 MYAIMÊ AI Training Program (VOLUNTARY OPT-IN; REWARDED)

3.3.1 Program Purpose and Scope

The MYAIMÊ AI Training Program (also referred to as "AI Training Program" or "AI Contributors Program" in these Terms) is Lovelike's voluntary program that enables Users to consent to the collection and potential use of data for the improvement of AIMÊ's artificial intelligence capabilities in exchange for substantial benefits. Lovelike retains sole discretion regarding the timing, scope, methodology, and prioritization of AI model training, and is not obligated to incorporate any specific User's data into any particular training cycle, model version, or AI development project. The benefits provided to MY AIMÊ participants (including AIMÊ Credits bonuses) constitute consideration for the User's consent to data collection and the grant of the data license described in Section 3.3.3 — not for the confirmed or guaranteed use of the User's data in any specific training event.

3.3.2 Voluntary Participation

(a) Opt-In Enrollment: Participation in MYAIMÊ is entirely voluntary. Users must affirmatively choose to participate during account registration or at any time thereafter via Settings > Privacy > AI Training Program.

(b) Clear Disclosure: Before enrollment, Users receive clear disclosure of:

• Data types collected for training purposes

• How anonymized/aggregated data is used to improve AIMÊ

• Benefits of participation (credits bonuses, enhanced features)

• Consequences of declining (forfeiture of bonuses only)

• Right to opt out at any time without penalty

(c) Registration Flow: During account creation, Users are presented with:

(d) No Penalty for Declining — Limited to Non-AI Features. Users who decline MYAIMÊ participation:

• Retain complete access to all non-AI core Platform features (including but not limited to profile management, messaging, campaign management workflows, subscription management, content publishing tools, and account settings)

• May purchase AIMÊ Credits at standard rates to access AI-powered features (subject to active subscription requirement per Section 1.6 for Love Partners and Love Creators)

• Can enroll in MYAIMÊ at any time via Settings to become eligible for bonus credit allocations

• Do NOT receive any free, complimentary, or reduced-cost access to AI-powered features. All AI functionality — including AIMÊ conversations, AI-assisted content creation, AI analytics, and AI-powered matchmaking — requires the consumption of AIMÊ Credits regardless of MYAIMÊ participation status. Users who decline MYAIMÊ and do not purchase credits cannot access any AI-powered feature.

3.3.3 Data License for Enrolled Users

If User opts into MYAIMÊ, User grants Lovelike a limited, non-exclusive, worldwide, royalty-free license for up to 5 renewable years to use anonymized and aggregated Activity Data and AI Configuration Data exclusively to:

(a) Train and validate AIMÊ machine learning models; (b) Improve AI recommendation algorithms; (c) Enhance matchmaking and personalization capabilities; (d) Develop new AI-powered features; (e) Conduct bias audits and fairness evaluations.

CRITICAL LIMITATIONS:

• Personal Data (name, email, contact info) is NEVER used for training

• Sensitive Personal Information requires additional consent (see 3.3.7)

• All data is anonymized and aggregated before incorporation into models

• Individual Users cannot be identified or re-identified from training data

• License terminates upon MYAIMÊ opt-out (subject to 3.3.5)

License Scope Clarification — Right, Not Obligation. The data license granted in this Section 3.3.3 confers upon Lovelike the right, but not the obligation, to use the licensed data for the purposes described in subsections (a) through (e) above. Lovelike may, at its sole discretion, determine: (i) which Users' data is incorporated into model training; (ii) the timing and frequency of training cycles; (iii) the specific models, algorithms, or AI systems trained; (iv) the volume and proportion of any individual User's data used in any training run; and (v) whether to use the licensed data at all during any given period. The User's MY AIMÊ participation benefits (including AIMÊ Credits bonuses, enhanced features, and community benefits described in Section 3.3.4) are consideration for the grant of this license and the User's consent to data collection — not for the actual use of the User's data in any specific training event. No User is entitled to any refund, credit adjustment, benefit reduction, or claim of breach or misrepresentation based on Lovelike's exercise of discretion regarding the use or non-use of licensed data.

3.3.4 Participation Benefits

Users enrolled in MYAIMÊ receive:

(a) AIMÊ Credits Bonuses:

• Love Partners: 50,000 credits at each subscription renewal (requires active subscription per Section 1.6)

• Love Creators: 50,000 credits per calendar month (requires active subscription per Section 1.6)

• Lovelikers: 50,000 credits every 30 days of enrollment

• Future Activity Bonuses: Additional credits tied to future Platform features, if and when introduced (see Section 2.4)

(b) Enhanced AI Features:

• Superior analysis depth and accuracy

• Advanced personalization algorithms

• Priority matchmaking optimization

• Richer insights and recommendations

(c) Planned Future Advantages:

Lovelike intends to introduce additional benefits for MYAIMÊ participants through future programs such as Glow Arena, which may include progression multipliers, recognition badges, and exclusive competitive categories. These features have not been launched as of the Effective Date and may never be launched. No User shall have any expectation of or entitlement to these future benefits based on this Agreement.

(d) Community Benefits:

• Early access to new AI features

• Priority customer support for AI-related issues

• Quarterly AI performance reports

• Contribution to platform-wide AI improvements

(e) Nature of Participation Benefits — Consideration for Consent.

The benefits described in this Section 3.3.4 — including AIMÊ Credits bonuses (subsection (a)), enhanced AI features (subsection (b)), planned future advantages (subsection (c)), and community benefits (subsection (d)) — are granted as consideration for the User's voluntary consent to data collection and the grant of the data license in Section 3.3.3. These benefits are NOT contingent upon, proportional to, or conditioned on the actual incorporation of the User's specific data into trained AI models, any particular training cycle, or any specific AI development project. Lovelike may grant full participation benefits to a User whose data has not yet been used in any training cycle, and no reduction, suspension, clawback, or forfeiture of benefits shall result from Lovelike's decision not to use a User's data in any particular period or at all. For the avoidance of doubt, a User's MY AIMÊ participation benefits are earned by maintaining active enrollment in the program and meeting the eligibility requirements of this Annex (including, for Love Partners and Love Creators, maintaining active subscription status per Section 1.6), regardless of whether or when Lovelike elects to exercise its rights under the data license.

3.3.5 Opt-Out Process and Effects

(a) Easy Opt-Out: Users may opt out of MYAIMÊ at any time via:

• Settings > Privacy > AI Training Program > Opt Out

• Email to support@lovelike.ai

• Live chat or phone support

• Opt-out is effective within 48 hours

(b) Immediate Effects of Opt-Out:

• Future data collection for training purposes ceases

• AIMÊ Credits bonuses cease prospectively (no clawback of previously earned and unexpired credits)

• Enhanced AI features revert to standard tier for any remaining credits consumed after opt-out

• Access to all non-AI Platform features is maintained (subject to active subscription requirement per Section 1.6 for Love Partners and Love Creators). AI-powered features remain accessible only for as long as the User has AIMÊ Credits available for consumption. Upon exhaustion of remaining credits, the User must purchase additional credits at standard rates to continue accessing any AI-powered feature. Opt-out from MYAIMÊ does NOT entitle the User to free, complimentary, or credit-free access to any AI functionality.

(c) Data Already Incorporated into Models:

• Anonymized and aggregated data already used for training prior to opt-out is NOT retroactively removable

• This is because data has been de-identified and cannot be traced back to individual Users

• Complies with standard AI industry practices and legal requirements

(d) Re-Enrollment: Users may re-enroll in MYAIMÊ at any time subject to:

• Eligibility verification (active account in good standing; active subscription for Love Partners and Love Creators)

• Agreement to updated MYAIMÊ terms (if changed since prior participation)

• No penalties or restrictions for prior opt-out

3.3.6 Data Anonymization and Security

All data used for MYAIMÊ model training undergoes:

(a) Anonymization Process:

• Removal of direct identifiers (name, email, phone, address)

• Generalization of quasi-identifiers (age → age range, location → region)

• Aggregation across multiple Users to prevent re-identification

• Application of differential privacy techniques where feasible

(b) Security Measures:

• Encryption in transit (TLS 1.3+) and at rest (AES-256)

• Access controls limited to authorized AI engineering personnel

• Audit logs of all data access for training purposes

• Regular security assessments and penetration testing

(c) Third-Party AI Providers:

• Contractual prohibition on using Lovelike data to train general-purpose models

• Data Processing Agreements compliant with GDPR/CCPA standards

• Regular audits of third-party compliance

• Right to terminate providers for violations

3.3.7 California Residents — Sensitive Personal Information

For California residents, processing of Sensitive Personal Information (SPI) for AI training purposes requires explicit opt-in consent beyond basic MYAIMÊ enrollment, as required by CPRA §1798.121.

(a) SPI Categories Requiring Additional Consent:

• Sexual orientation / gender identity (anonymized Tier 2 use)

• Precise geolocation data (GPS coordinates within 1,750 feet)

• Racial or ethnic origin (if collected)

• Religious or philosophical beliefs (if collected)

(b) Separate Consent Mechanism: California residents are presented with a separate consent checkbox during MYAIMÊ enrollment or via Settings > Privacy > California Privacy Rights:

(c) Effect of Limiting SPI:

• MYAIMÊ participation and credits bonuses continue unaffected

• AI training uses only non-SPI data (browsing, purchases, engagement)

• Some advanced personalization features may be less accurate

3.3.8 Equity and Fairness Commitments

Lovelike commits to:

(a) Bias Audits: Annual third-party audits of AIMÊ models for bias across protected characteristics (race, gender, sexual orientation, age, etc.)

(b) Fairness Metrics: Continuous monitoring of AI outputs for disparate impact and performance parity across user segments

(c) Transparency Reports: Annual public reports on AI fairness, bias audit results, and remediation efforts

(d) Human Review Rights: Users have the right to request human review of any materially impactful AI-driven decision (account restrictions, content moderation, rankings)

(e) Model Cards: Publication of model cards for major AIMÊ capabilities detailing training data sources, intended use cases, limitations, and fairness evaluations

3.4 Participation Rewards

Access to early AIMÊ features, deeper analytics, community recognition, and bonus credits based on active enrollment status and eligibility criteria established in Sections 1, 1A, and 1B of this Annex. For the avoidance of doubt, participation benefits (including bonus credit allocations) are granted as consideration for the User's consent and data availability per Section 3.3.4(e), and are not proportional to the volume, quality, or actual use of the User's contributed data. Additional reward programs and incentive structures (including Glow Arena) may be introduced in the future at Lovelike's sole discretion.

3.4.1 Participation Benefits Comparison Table

The following table summarizes the benefits available to Users based on their AI Training Program participation status:

⚠️ IMPORTANT: All AI-powered features consume AIMÊ Credits upon each interaction, regardless of MYAIMÊ participation status. The difference between "With AI Program" and "Without AI Program" is the source of credits (bonuses + purchase vs. purchase only) and the quality tier of AI analysis (Enhanced vs. Standard). No AI feature is available free of charge or without credit consumption under either scenario. Users with a zero credit balance cannot access any AI functionality.

Love Partners (Monthly; requires active subscription):

• WITH Program: 50,000 bonus credits; expires at end of billing cycle

• WITHOUT Program: $0 in bonuses; purchase credits at standard rates

Love Creators (Monthly; requires active subscription):

• WITH Program: 50,000 bonus credits; expires 30 days after allocation

• WITHOUT Program: $0 in bonuses; purchase credits at standard rates

All Users retain the right to opt out at any time without penalty, maintaining non-AI platform access but forfeiting bonus benefits prospectively. Love Partners and Love Creators must maintain active subscription status to earn and use credits (Section 1.6).

3.5 Third‑Party AI Providers and Safeguards

Contractual prohibition on training general models with user data; audits and data minimization; acknowledgment of inherent risks in third‑party processing beyond Lovelike's direct control. Despite contractual safeguards, Users acknowledge that third‑party providers operate under their own terms and data practices not fully controlled by Lovelike.

3.6 Post‑Closure Data Treatment

4.1 Maximum Disclaimer (Delaware Law)

AIMÊ services and outputs are provided "AS‑IS," "AS‑AVAILABLE," and "WITH ALL FAULTS," without any warranties; use at the user's sole risk.

4.2 Liability Limitation

No liability for indirect, special, consequential, punitive damages; loss of profits/revenue/data/use/goodwill; business interruption; reliance damages; inaccuracies/hallucinations; or third‑party claims tied to AI content, to the maximum extent permitted by law.

Monetary cap: the lesser of (i) the total amounts paid by the User for AIMÊ Credits in the twelve (12) months preceding the claim; or (ii) one hundred U.S. dollars (US$100).

Consumer savings clause: limitations apply only to the extent permitted by applicable law.

4.3 Mandatory Credit Consumption — Zero Balance Restriction

4.3.1 Universal Requirement. Every interaction with any AI-powered feature on the Platform consumes AIMÊ Credits. There are no free interactions, complimentary queries, trial conversations, demo modes, or zero-cost AI operations available to any User under any circumstances. This requirement applies universally to all User categories (Love Partners, Love Creators, Lovelikers, and Love Connectors), all account tiers, all subscription levels, and all MYAIMÊ participation statuses.

4.3.2 Zero Balance Access Restriction. When a User's AIMÊ Credits balance reaches zero (0):

(a) All AI-powered features are immediately and automatically restricted. The User cannot initiate new AIMÊ conversations, generate AI-assisted content, access AI-powered analytics, utilize AI-driven matchmaking optimization, or interact with any other AIMÊ functionality.

(b) The Platform will display a prominent notification informing the User that their credit balance is zero and providing options to: (i) purchase AIMÊ Credits via the dashboard (subject to active subscription requirement for Love Partners and Love Creators per Section 1.6); or (ii) enroll in the MYAIMÊ AI Training Program (if not already enrolled) to become eligible for bonus credit allocations in the next applicable cycle.

(c) Non-AI Platform features remain fully accessible regardless of AIMÊ Credits balance, including but not limited to: profile management, messaging, campaign management workflows (excluding AI-assisted features within those workflows), subscription management, content publishing tools, referral link management, and account settings.

(d) Any AI-powered operation that is initiated but cannot be completed due to insufficient credits will be terminated, and the User will receive an insufficient balance notification. Partial credit balances insufficient to complete a requested AI operation will not be consumed; the operation will simply not execute.

4.3.3 No Implied Free Access. No provision in this Annex IX, the Terms of Service, the Privacy Policy, or any other Platform document, communication, marketing material, or user interface element shall be construed as granting, implying, suggesting, or creating an expectation of free, complimentary, trial, or credit-free access to any AI-powered feature. References to "full Platform access," "core Platform features," "complete access to all core Platform features," "standard features," or similar language throughout these Terms and Annexes refer exclusively to non-AI features and do not include or imply free access to any AIMÊ AI functionality.

4.3.4 Credit Consumption Transparency. Upon completion of each AI-powered interaction, the Platform will notify the User of the actual credit cost incurred by the operation. This consumption will be automatically debited from the User’s balance and reflected in their usage history. While prior confirmation for each individual operation is not required, the User may monitor their real-time balance and set usage alerts as detailed in Section 11.10.

5. USER RESPONSIBILITY AND ASSUMPTION OF RISK

5.1 Probabilistic Nature of AI

Acknowledgment of potential inaccuracies, biases, outdated info, and fabrications; AIMÊ is not professional advice; human judgment required.

5.2 Mandatory Independent Verification

User must fact‑check, review/edit outputs, ensure legal compliance, and seek professional advice where necessary.

Lovelike has no obligation to verify/fact‑check AI outputs or monitor user reliance.

6. INDEMNIFICATION

6.1 Broad Indemnification by User

User will indemnify/defend/hold harmless Lovelike and affiliates from claims, losses, and costs (including reasonable attorneys' fees) arising from use/reliance/publication of AI outputs, user decisions, contractual/legal violations, and third‑party claims related to the user's AI‑assisted content.

Defense: prompt notice; cooperation; user control of defense upon request; no settlement without Lovelike's prior written consent (not unreasonably withheld).

7. THIRD‑PARTY AI PROVIDER PROTECTIONS

No warranties regarding third‑party AI services; risks acknowledged; claims against third parties must be brought directly where required by law; Lovelike's liability is limited to the extent permitted by law.

8. ACQUISITION AND RENEWAL

8.1 Acquisition Methods

AIMÊ Credits may be acquired through: direct purchase (subject to active subscription requirement per Section 1.6 for Love Partners and Love Creators); promotional allocations; performance bonuses (when applicable); plan/tier inclusions; AI Improvement rewards; and future incentive program rewards (if and when such programs are launched); performance conditions (Section 2).

8.2 Purchase Process

Purchase: real-time balance updates; secure processing via PCI DSS compliant providers; immediate email receipt with transaction ID, credits purchased, amount paid, and payment method. Love Partners and Love Creators must have active subscription status to complete purchases (Section 1.6).

8.3 Automatic Reload (Optional)

Opt-In Requirement: Auto-reload is optional, requires explicit User authorization, and can be disabled at any time without penalty.

Compliance with State Laws: Auto-reload complies with automatic renewal statutes (California Bus. & Prof. Code §17600 et seq.; Illinois 815 ILCS 601/10; New York Gen. Bus. Law §527-a; Virginia Consumer Protection Act).

9. NOTIFICATIONS AND USAGE MONITORING

10. MODERATION AND USAGE VALIDATION

Suspension: for non‑compliant use; excessive automation/scripts; fraud; policy violations; manipulation attempts; misuse for illegal/harmful purposes.

11. NATURE AND LIMITATIONS OF AIMÊ CREDITS

11.1 Legal Classification

AIMÊ Credits are prepaid digital access units that enable Users to consume AI-powered services on the Platform. They are strictly utility tokens with the following characteristics:

(a) Not Money or E-Money: AIMÊ Credits are not currency, e-money, stored value, or money transmission instruments under the Electronic Fund Transfer Act (EFTA), state money transmission laws, or federal banking regulations.

(b) Not Cryptocurrency or Digital Assets: AIMÊ Credits are not cryptoassets, virtual currency, blockchain tokens, or decentralized digital assets; they exist solely within Lovelike's centralized systems.

(c) Not Securities: AIMÊ Credits do not constitute securities under the Securities Act of 1933, Securities Exchange Act of 1934, or state Blue Sky laws; they confer no ownership, equity, profit-sharing, dividend, or governance rights in Lovelike Inc. or any affiliated entity.

(d) Not Credit Instruments: AIMÊ Credits are not loans, lines of credit, or debt instruments; they represent prepaid access to computational services, not obligations to pay.

11.2 Permitted Uses and Restrictions

11.2.1 Authorized Uses

AIMÊ Credits may only be used for:

• Accessing AIMÊ AI services (campaign creation, analytics, insights, matchmaking, content generation);

• Consuming computational resources (LLM processing, embeddings, vector search, graph analysis);

• Participating in incentive programs where credits are accepted, if and when such programs are launched;

• Any other Platform features explicitly designated as credit-eligible by Lovelike.

All uses by Love Partners and Love Creators require active subscription status per Section 1.6.

11.2.2 Prohibited Uses

The following uses are strictly prohibited and may result in immediate account suspension or termination without refund:

(a) Off-Platform Use: Attempting to use, redeem, exchange, or represent AIMÊ Credits outside the Lovelike Platform;

(b) Transfer or Sale: Selling, gifting, trading, assigning, pledging, or transferring credits to any third party, including other Users, brands, or accounts;

(c) Commercial Resale: Operating as a reseller or intermediary for AIMÊ Credits;

(d) Fraudulent Acquisition: Obtaining credits through unauthorized means, exploits, bugs, chargebacks, payment fraud, or system manipulation;

(e) Automated Abuse: Using bots, scripts, or automated tools to accumulate, consume, or manipulate credits outside normal Platform usage;

(f) Money Laundering: Using credits for money laundering, terrorist financing, or other illicit financial activities.

11.3 No Guaranteed Value or Redemption Rights

11.3.1 No Cash Redemption

AIMÊ Credits have no monetary value and are not redeemable for cash, check, wire transfer, or any other form of money, except:

(a) To the extent strictly required by applicable state consumer protection laws (e.g., certain state gift card laws that may apply if credits are deemed similar);

(b) In cases of verified technical failures, billing errors, or unauthorized charges as outlined in Section 12;

(c) Where Lovelike voluntarily elects to provide a refund under Section 12 exceptions.

Any such redemption, if legally required or voluntarily provided, shall be:

• Calculated based on the original purchase price paid by the User (not any bonus or earned credits);

• Subject to deduction of any credits already consumed;

• Processed within 30-60 days depending on payment method and card-issuer timelines.

11.3.2 No Guaranteed Exchange Rate

There is no guaranteed or fixed exchange rate between:

• AIMÊ Credits and U.S. dollars;

• AIMÊ Credits and LLM tokens;

• AIMÊ Credits and computational resources (embeddings, vector queries, graph operations);

• AIMÊ Credits and specific Platform features or outputs.

The computational capacity, token processing, or service access provided per credit may vary based on:

• Task complexity and processing requirements;

• AI models selected or automatically assigned;

• Real-time system load and resource availability;

• Platform optimizations and efficiency improvements;

• Third-party AI provider pricing changes.

11.3.3 No Service Level Guarantees

Possession of AIMÊ Credits does not guarantee:

(a) Specific response times or processing speeds;

(b) Availability of particular AI models or features;

(c) Quality, accuracy, or usefulness of AI outputs;

(d) Qualification for performance bonuses or incentive program rewards;

(e) Continuation of any promotional programs or bonus allocations;

(f) Grandfathered pricing or credit consumption rates if Platform terms change.

11.4 No Proprietary Rights

11.4.1 No Ownership in Platform Technology

AIMÊ Credits confer no ownership, license, or proprietary rights in:

• AIMÊ AI models, algorithms, or training data;

• Platform source code, architecture, or infrastructure;

• Lovelike intellectual property, trademarks, or trade secrets;

• Third-party AI provider technologies or services;

• Incentive program systems or competitive frameworks.

11.4.2 No Governance or Control Rights

Users holding AIMÊ Credits have no rights to:

• Vote on Platform policies, features, or development priorities;

• Participate in corporate governance of Lovelike Inc.;

• Influence AI model training, fine-tuning, or deployment decisions;

• Demand specific features, integrations, or service levels;

• Access confidential business information or strategic plans.

11.4.3 No Dividend or Profit-Sharing

AIMÊ Credits do not entitle Users to:

• Share in Lovelike's profits, revenues, or appreciation in company value;

• Receive dividends, distributions, or equity-like returns;

• Participate in initial public offerings (IPOs), mergers, or acquisitions;

• Claim any portion of Lovelike's assets upon dissolution or bankruptcy.

11.5 Platform Control and Modification Rights

11.5.1 Unilateral Modification

Lovelike reserves the absolute and exclusive right to:

(a) Modify credit pricing, packages, and acquisition methods at any time;

(b) Change credit consumption rates for specific features or operations;

(c) Adjust expiration rules, validity periods, or rollover policies;

(d) Introduce new credit tiers, categories, or classifications;

(e) Suspend, terminate, or discontinue any credit-based features;

(f) Implement consumption limits, throttling, or fair-use policies;

Subject only to:

• Applicable legal requirements (consumer protection, automatic renewal statutes);

• The Notification Policy outlined in this Annex (Sections 13, Document Management);

• Good faith and fair dealing obligations under Delaware law where applicable.

11.5.2 No Breach by Modification

Changes to credit systems, pricing, or features under Section 11.5.1 do not constitute:

• Breach of contract or breach of implied covenant of good faith;

• Grounds for rescission, reformation, or voiding of this Agreement;

• Basis for damages, restitution, or equitable relief;

• Unfair or deceptive trade practice under FTC Act or state UDAP statutes;

Provided that:

• Material changes comply with the Notification Policy;

• Changes are applied prospectively (except for emergency security/compliance changes);

• Users retain the right to cancel and receive applicable refunds under Section 12.

11.6 Account-Specific Nature

11.6.1 Personal and Non-Transferable

AIMÊ Credits are:

• Tied exclusively to the User's individual account or brand profile;

• Non-transferable between accounts, even if owned by the same individual or entity;

• Not shareable across team members, employees, or collaborators unless explicitly authorized by Platform features (e.g., team/agency accounts, if implemented);

• Subject to immediate forfeiture if accounts are merged, transferred, or sold without Lovelike's prior written consent.

11.6.2 No Inheritance or Succession

Upon a User's death, incapacity, or dissolution (for business entities):

• AIMÊ Credits do not pass to heirs, successors, assigns, or estate representatives;

• All credits expire immediately upon account closure or termination;

• Except where state law explicitly requires otherwise and User provides proper legal documentation (death certificate, letters testamentary, etc.), Lovelike may, in its sole discretion, transfer credits to a verified successor account or provide a pro-rata refund of unused purchased credits.

11.7 Tax and Accounting Treatment

11.7.1 User Tax Responsibility

Users are solely responsible for:

• Determining the tax treatment of AIMÊ Credit purchases under applicable tax laws (income tax, sales/use tax, VAT, etc.);

• Reporting and remitting any required taxes to appropriate authorities;

• Maintaining records for tax compliance and audit purposes.

Lovelike provides purchase receipts and transaction history but does not provide tax advice.

11.7.2 Platform Tax Collection

Where legally required, Lovelike will:

• Collect and remit applicable sales tax, use tax, or VAT on credit purchases;

• Provide tax-compliant invoices and documentation;

• Register with tax authorities in jurisdictions where economic nexus or other thresholds are met.

Users acknowledge that displayed prices may not include all applicable taxes, which will be added at checkout where required by law.

11.8 Bankruptcy and Insolvency

11.8.1 No Priority Claim

In the event of Lovelike's bankruptcy, insolvency, receivership, or liquidation:

• AIMÊ Credits holders have no priority claim on Lovelike's assets;

• Credits are not considered customer deposits, trust funds, or segregated property;

• Users rank as unsecured general creditors to the extent of their unused purchased credits (if any recovery right exists under applicable bankruptcy law);

• Subscription Credits, Earned Credits, and Bonus Credits confer no recovery rights whatsoever.

11.8.2 Risk of Total Loss

Users acknowledge and accept the risk that:

• All AIMÊ Credits (purchased, earned, or bonus) may become worthless and irrecoverable if Lovelike ceases operations;

• No insurance, FDIC protection, or government guarantee covers AIMÊ Credits;

• Lovelike has no obligation to maintain reserves, escrow accounts, or bonding for credit liabilities.

11.9 Regulatory Compliance

11.9.1 Not Subject to Financial Regulations

By design and operation, AIMÊ Credits are structured to avoid classification as:

• Money transmission requiring state licensing (per FinCEN guidance);

• Stored value subject to EFTA Regulation E;

• Securities requiring SEC registration;

• Commodities subject to CFTC jurisdiction.

Users acknowledge this classification and agree not to assert claims based on alternative characterizations.

11.9.2 Evolving Regulatory Landscape

Users acknowledge that:

• Digital token regulations are evolving rapidly at federal and state levels;

• Lovelike may modify credit systems, features, or terms to maintain compliance with new laws or regulatory guidance;

• Such compliance-driven changes are permitted under Section 11.5 and do not constitute breach;

• Users in jurisdictions that prohibit or restrict digital credits/tokens may have their access limited or terminated with applicable refunds.

11.10 Credit-to-Computational-Resource Transparency

11.10.1 Approximate Consumption Guidance

While AIMÊ Credits are not sold as direct computational units, Lovelike provides the following guidance for transparency and user planning:

(a) Typical Processing Ratio

• 1 AIMÊ Credit typically provides access to approximately 10 LLM tokens of processing capacity, plus associated computational resources (embeddings, vector database queries, graph processing, model inference, and data operations).

• Therefore, 100,000 AIMÊ Credits typically provide access to approximately 1,000,000 LLM tokens plus associated computational work.

(b) Consumption Variability

Actual consumption varies significantly based on:

• Task complexity, content length, and processing depth

• AI models selected or automatically assigned by Platform algorithms

• Type of operation (simple query vs. complex multi-step analysis)

• Real-time computational load and resource optimization

• Use of specialized features (RAG, graph reasoning, multi-modal processing)

• Third-party AI provider performance and availability

(c) Illustrative Consumption Examples

The following are approximate examples only and may vary:

Simple Operations (50-200 credits):

• Quick insight or basic query

Standard Operations (1,000-3,000 credits):

• Campaign creation with moderate complexity

(d) No Contractual Guarantee

These ratios and examples are provided for transparency and planning purposes only. They do not constitute:

• A contractual guarantee of specific consumption rates

• A fixed or guaranteed exchange rate

• A basis for refund claims if actual consumption varies

• An obligation to maintain specific consumption patterns

(e) Right to Adjust

Lovelike reserves the right to adjust consumption rates based on:

• Technological improvements and efficiency gains

• Changes in third-party AI provider pricing

• Introduction of new models or features

• Platform optimization and resource management

Material changes to typical consumption patterns will be communicated per the Notification Policy (up to 30 days' advance notice where feasible).

(f) User Acknowledgment

By purchasing or using AIMÊ Credits, Users acknowledge that:

• Credits are access units for AI services, not direct computational purchases

• Actual consumption will vary from estimates based on multiple factors

• The Platform has no obligation to maintain specific consumption ratios

• Consumption monitoring is the User's responsibility via dashboard tools

12. PRICING AND ECONOMIC TERMS

12.1 Pricing Factors

Pricing determined based on: market rates, operational costs (third-party AI licensing, infrastructure, support, compliance), competitive analysis, and business sustainability.

12.2 Pre-Purchase Disclosure

Before checkout, Users see:

• Total credits and price in USD

• Effective rate per credit

• Estimated processing capacity (e.g., "~1,000,000 tokens + computational resources for 100,000 credits")

• Statement: "Actual consumption varies by task complexity"

• Expiration terms

• Refund policy summary with link to full Section 12.4

12.3 Taxes

User Responsibility: Users responsible for determining tax treatment and paying applicable taxes.

Platform Collection: Where legally required (economic nexus, state/international tax laws), Lovelike collects and remits sales tax, VAT, GST, or other applicable taxes. Taxes itemized separately on invoices.

Tax Display: Prices may be displayed exclusive of tax (with tax added at checkout, common in U.S.) or inclusive of tax (where required by law, e.g., EU).

12.4 Refund Policy

General Rule: AIMÊ Credits are generally non-refundable due to immediate digital delivery.

• Cancel: Cancel account before effective date; receive refunds per Section 12.4 for unused purchased credits; no penalties

No Breach: Changes under this Section do not constitute breach of contract, provided: (1) Notification Policy followed; (2) Users have option to cancel; (3) Changes not retroactively applied to purchased credits in User's account.

14. INTELLECTUAL PROPERTY AND AI OUTPUTS

Users retain rights to inputs; AI outputs are licensed to users for commercial use; the Platform retains model/technology rights; third‑party content remains under original licenses.

Permitted uses: marketing/promotion; commercial use under guidelines; modifications and derivatives; campaign integration.

Prohibited uses: illegal/harmful purposes; IP infringement; deceptive advertising; Terms violations; training competing AI models.

15. DELAWARE AND FEDERAL PROTECTIONS

DGCL §102(b)(7): Lovelike's charter limits director monetary liability as permitted (does not cover bad faith, etc.); acknowledgment extends to AI policy decisions to the extent applicable.

Business Judgment Rule: AI design/implementation decisions are recognized under the rule where applicable.

Federal protections: Section 230 claims to the extent applicable; jurisprudence evolving.

16. USE‑CASE SPECIFIC DISCLAIMERS

Campaigns/Marketing: no liability for performance/ROI, regulatory violations, consumer complaints, or IP issues arising from AI‑assisted materials, to the extent permitted by law.

Marketplace: no liability for underperforming recommendations, algorithmic visibility bias, inaccurate descriptions, automated pricing, or AI‑assisted support interactions, to the extent permitted.

17. DISPUTE RESOLUTION AND ENFORCEMENT

Internal process: initial support; technical escalation; management review; final determination within 15 business days; human review option for AI‑driven decisions.

Mandatory arbitration: binding arbitration in Delaware under JAMS rules; class‑action waiver and confidentiality to the extent permitted; prevailing‑party fees where authorized. If any waiver is unenforceable, remaining provisions survive to the maximum extent.

Governing law: Delaware and applicable U.S. federal law.

18. ENFORCEABILITY AND SEVERABILITY

If any provision is invalid/unenforceable, the remainder remains effective; provisions reformed to the maximum lawful extent; liability limitations/disclaimers enforced to the fullest extent permitted.

19. COMPLIANCE AND REGULATORY

Federal: FTC Act; EFTA (as applicable); Truth in Advertising; CFAA; AI governance frameworks.

State: CCPA/CPRA (as applicable); automatic renewal statutes; state consumer protection laws; digital token considerations (credits are utility).

Privacy: rights to access, correction, deletion, portability, and AI Training Program opt‑out, per Privacy Policy and applicable laws.

International: export controls; AML; cross‑border payments; GDPR (as applicable); local AI governance.

20. REVIEW AND UPDATE GOVERNANCE

Review: annual and ad hoc for tech/legal changes or material changes to third‑party providers.

21. ONGOING COMPLIANCE AND UPDATES

Users acknowledge evolving AI regulation; Lovelike may adjust features for compliance; protections/terms may be updated; continued use implies acceptance subject to applicable notices.

22. FINAL PROVISIONS

22.1 Account Cancellation Effects

Unused Subscription Credits (including discretionary bonuses for Love Partners, Love Creators, and Lovelikers) expire automatically upon cancellation/termination. For Love Partners and Love Creators, Earned Credits and Purchased Credits frozen due to subscription lapse (Section 1.6) are forfeited upon permanent account closure. Non‑perishable credits may expire without refund upon closure or termination, except where required by law or under Section 12 exceptions.

By using AIMÊ Credits and AIMÊ services, the User acknowledges and agrees to the disclaimers, limitations, data governance rules, privacy practices, active subscription requirements, and acquisition conditions set forth herein.

EXECUTIVE SUMMARY — BONUSES AND ACQUISITION METHODS

CRITICAL NOTICE: All AIMÊ Credits bonuses described below are available ONLY to Users who actively participate in the AI Training Program. Love Partners and Love Creators must additionally maintain active subscription status (Section 1.6) to earn and use AIMÊ Credits. Users who opt out of the AI Training Program forfeit ALL bonus eligibility but maintain full non-AI platform access and may purchase credits at standard rates (subject to subscription requirement).

Love Partners (with AI Training Program participation; active subscription required)

Subscription Bonus (Monthly):

• 50,000 AIMÊ Credits at the start of each new paid subscription cycle

• Discretionary; subject to change or termination at any time

• Expires at end of billing cycle; no rollover

• Requires active subscription status (Section 1.6)

Without AI Training Program:

• $0 in bonuses

• May purchase credits at standard rates (requires active subscription)

Active Subscription Requirement (Love Partners and Love Creators)

Love Partners and Love Creators must maintain active subscription status to earn and use AIMÊ Credits on the Platform. If a subscription expires, lapses, is suspended, or is terminated: Subscription Credits are immediately forfeited; Earned Credits and Purchased Credits are preserved but frozen until subscription reactivation; new bonus allocations cease. This requirement does not apply to Lovelikers. See Section 1.6 for complete terms.

Future Activity Bonuses (Not Available at Launch)

Lovelike may, at its sole discretion, introduce additional activity-based bonuses tied to features such as marketplace sales (Lovelike Shop), contracted campaigns, or engagement programs (Glow Arena). These features have not been launched and may never be launched. If and when introduced, applicable bonus structures, eligibility criteria, and terms will be communicated through updated Terms of Service and in-platform notifications, subject to the Notification Policy (Sections 12.5 and 13). No User shall have any expectation of, or entitlement to, future activity bonuses based on this Agreement.

Important Disclaimers

• All bonuses are PROMOTIONAL, DISCRETIONARY, and NOT GUARANTEED.

• Lovelike may adjust, suspend, or terminate bonuses at any time, subject to the Notification Policy (Sections 12.5 and 13), without constituting breach of contract.

• Criteria, amounts, and eligibility requirements may change at any time.

• Bonuses do not create contractual rights or legitimate expectations of continuity.

• See Sections 1.5, 1.6, 2.1, and 13 for complete terms.

TRANSPARENCY AND CONSUMPTION DISCLOSURE

Credit-to-Resource Ratio: AIMÊ Credits provide access to AI services. As guidance, 1 credit typically provides approximately 10 LLM tokens of processing plus computational resources. Therefore, 100,000 credits typically provide access to approximately 1,000,000 tokens plus computational work. Actual consumption varies significantly by task complexity, AI models, and processing requirements.

Pre-Purchase Disclosure: All credit purchases include clear disclosure of price, quantity, estimated capacity, expiration terms, and variability before checkout.

No Guarantees: The credit-to-resource ratio is approximate and may change. Credits are access units for services, not direct computational purchases. See Section 11.10 for complete disclosure.
