DOCUMENT SCOPE

This Annex provides definitions for key terms used throughout the Lovelike General Terms of Service, its Annexes, and the Platform. These definitions are an integral part of the legal agreement between the User and Lovelike Inc. and shall be interpreted in accordance with Delaware State Law and applicable US federal regulations.

COMPREHENSIVE PLATFORM GLOSSARY

AIMÊ: Lovelike's proprietary artificial intelligence system that assists Love Partners, Love Creators, and Lovelikers by generating campaigns, briefings, performing matchmaking, analyzing results, and providing insights for performance optimization. AIMÊ operates in alignment with FTC guidance for AI-powered services and applicable US privacy laws. Use of AIMÊ features is metered via AIMÊ Credits as defined in this Glossary and further governed by Annex IX.

AIMÊ Credits: Digital processing units consumed by AIMÊ during task execution (e.g., campaign creation, insights, matchmaking, analytics). AIMÊ Credits are allocated per plan and are prepaid digital access credits with no monetary value outside the Platform, are non-transferable, and are governed by Annex IX. AIMÊ Credits are not money, e-money, cryptoassets, securities, or credit instruments; they confer no ownership, dividend, interest, governance, or redemption rights and are not redeemable for cash except to the extent strictly required by applicable law. AIMÊ Credits may be classified as: (a) Subscription Credits (discretionary, perishable); (b) Earned Credits (non-perishable while the account remains active and in good standing); and (c) Purchased Credits (non-perishable while the account remains active and in good standing). Consumption follows a waterfall order as defined in Annex IX (Subscription, then Earned, then Purchased, with the earliest-expiring credits consumed first). Off-platform use is prohibited.

API (Application Programming Interface): Interfaces enabling integration of the Platform with external systems, subject to Platform security standards and data protection requirements.

Arbitration: The mandatory dispute resolution process administered by JAMS (Judicial Arbitration and Mediation Services), as specified in Section 15 of the General Terms of Service, through which disputes between Users and Lovelike are resolved in lieu of court litigation.

Automated Alerts: System notifications for preventive and opportunity events (e.g., streak risk, low quality score, available campaigns, multipliers), provided in compliance with applicable laws governing commercial electronic communications (e.g., CAN-SPAM).

Authenticity Above All: A Platform value emphasizing genuine expression and transparent communication, applied in alignment with FTC truth-in-advertising standards.

Badge: Visual symbol displayed on user profiles indicating status, verification, or achievements (e.g., "Verified," "Creator Pro," "Business Creator"), subject to verification requirements and IP protections.

Briefing: Strategic document fundamental to collaborations within the ecosystem, created by Love Partners or Love Creators (optionally assisted by AIMÊ). Must comply with FTC endorsement/advertising rules. Includes: (i) Love Partner Briefing, (ii) Love Creator Briefing, and (iii) Campaign Briefing.

Campaign: A structured marketing initiative launched by Love Partners through collaborations with Love Creators, subject to FTC Endorsement Guides and applicable state advertising laws.

Campaign Agreement: The binding contract between a Love Partner and a Love Creator following proposal, negotiation, payment, and acceptance. Incorporates the Briefing by reference.

Chargeback: Reversal of a payment card transaction initiated by the cardholder's financial institution due to dispute, fraud, unauthorized use, or non-delivery. Chargebacks may trigger commission reversals and penalties as detailed in relevant Annexes.

Love Connector Code: Unique identifier provided to Love Connectors for referral tracking and commission attribution, subject to the Ambassador Program terms (Annex I) and one-tier structure.

Commissions: Fee-based compensation paid to Love Creators and Love Connectors for completed Campaigns or qualifying sales, calculated per Annex I/IV. Payments may require IRS reporting (e.g., Forms 1099-NEC/1099-K).

Consumer Protection Laws: The framework of federal and state regulations governing marketplace transactions and advertising, including the FTC Act, state UDAP statutes, the Magnuson-Moss Warranty Act, and state privacy laws (e.g., CPRA, VCDPA, CPA, CTDPA, UCPA).

Contracted Campaigns: Collaborations that have completed proposal, negotiation, payment, and acceptance stages and are governed by the Campaign Agreement.

Coupon: A Partner-funded promotional mechanism that applies a price reduction or benefit at checkout via code, URL parameter, or platform rule, governed by Annex IV Section 4.1.1 and ToS Section 6.14. Unless expressly stated otherwise at checkout, coupons do not stack with other promotions or referral/ambassador benefits; the Platform automatically applies the single highest-priority eligible discount.

Dashboard: Personalized control panel with performance metrics, campaign status, scoring, and relevant user information, accessible through secure authentication and maintained under applicable data protection standards.

Deactivation: Suspension or termination of a User's account under the Terms (e.g., breach, policy violations, non-compliance, inactivity), with appeal rights per Section 8.

Delaware Law: The governing law for the Terms and Annexes, as specified in the General Terms of Service.

Digital Millennium Copyright Act (DMCA): US federal copyright law providing safe harbor protections and notice-and-takedown procedures, as implemented in Section 5 of the Terms.

DMCA (Digital Millennium Copyright Act): Federal copyright law (17 U.S.C. § 512) providing "safe harbor" protections for online service providers who implement proper notice-and-takedown procedures and maintain a repeat infringer policy. Lovelike complies with DMCA requirements through designated agent registration, expedited takedown procedures, counter-notice processes, and repeat infringer termination policies.

Engagement Rate: A social media metric measuring interactions relative to reach or followers. Provided for informational purposes only and does not guarantee campaign outcomes.

Federal Trade Commission (FTC): US federal agency enforcing consumer protection and regulating advertising practices. Its guidance and regulations inform Platform operations.

Force Majeure: Events beyond Lovelike's reasonable control that may affect operations, including natural disasters, government actions, labor disputes, cyberattacks, internet/telecom failures, AIMÊ downtimes, or other systemic disruptions, as defined in Section 20.11 of the General Terms of Service.

Intellectual Property: Proprietary rights in content, technology, trademarks, copyrights, trade secrets, and other IP owned by Lovelike or Users, governed by US law and Section 5 of the Terms.

KPIs (Key Performance Indicators): Metrics used to evaluate performance (e.g., engagement, conversions, quality), subject to analytics limitations and data protection compliance.

Lovelike: The Platform, services, and ecosystem owned and operated by Lovelike Inc., including websites, mobile apps, software, and related services.

Lovelike Manifesto: A statement of Platform values emphasizing authentic connection, trust, and meaningful impact.

Love Align: Conciliation and alignment system for collaborative conflict resolution in the ecosystem, including disputes between Love Partners and Love Creators, and certain consumer disputes, as described in the Terms and Annexes.

Love Care: Support and service center offering multi-channel assistance (in-app, email), combining AIMÊ automation for simple issues and human specialists for complex cases.

Love Connect: The concept of authentic, value-aligned partnerships between Creators and Love Partners, compliant with FTC disclosure requirements.

Love Connectors: Love Partners or Love Creators with special Ambassador status granted by Lovelike, with privileges and responsibilities per Annex I. The program operates on a one-tier model.

Love Creators: Content creators, influencers, and individual entrepreneurs using the Platform to participate in campaigns and related programs, under applicable terms and tax obligations.

Love Match: A subscription plan for Love Partners focusing on campaign management and AI-assisted matchmaking, subject to applicable terms.

Love Metrics: Measurement approach emphasizing engagement quality and impact beyond reach metrics, provided for informational purposes; does not guarantee outcomes.

Love Partners: Brand entities using the Platform to launch campaigns or sell products, subject to obligations detailed in Annexes I, III, VIII, and IX (and IV where financial).

Matchmaking: The AI-driven process powered by AIMÊ that identifies and suggests compatible Love Partner--Love Creator pairings based on metrics, brand safety, audience, and objectives. Provided for informational purposes without guarantees.

Material Breach: Significant violations of the Terms potentially leading to termination, including fraud, repeated policy violations, non-compliance, IP infringement, or harmful conduct, as defined in Section 1.0.6 of the Terms.

One-Tier: Commission model in which only direct referrals are remunerated, in compliance with FTC guidance on referral programs.

One-Tier Program: The Ambassador Program structure compensating only direct referrals of a Love Connector, with referred users permanently ineligible to become Love Connectors, per Annex I.

Onboarding Stripe Connect: The mandatory process for commercial features and payouts whereby Love Partners and Love Creators create and maintain a Stripe Connect account linked to the Platform, including KYC/KYB and tax reporting (e.g., W-9/W-8), as described in Section 2.6 of the Terms and applicable Annexes.

Payment Card Industry Data Security Standard (PCI DSS): Security standard governing card data handling; compliance maintained via certified processors (e.g., Stripe).

Platform: The digital environment (websites, applications, software, services) owned by Lovelike Inc.

Platform Spotlight: A time-limited visibility feature for eligible users, subject to Platform algorithms, availability, and fair competition standards.

Privacy Policy: The binding document governing how Lovelike collects, uses, stores, shares, and protects User data, in compliance with applicable US federal and state privacy laws.

Quality Score: Proprietary metric to assess performance and compliance of Love Partners and Love Creators, which may influence visibility and opportunities, per Platform policies.

RAG (Retrieval-Augmented Generation): AI technique that retrieves relevant information from approved sources to inform generated outputs, used to improve precision in matchmaking and insights while complying with privacy and security standards.

Referrals: System whereby registered users can invite new users, receiving points or benefits per established scoring criteria and program terms.

Repeat Infringer: Under Lovelike's DMCA policy, a user with three (3) or more verified copyright violations within 24 months, or one (1) severe violation involving willful, commercial-scale, or bad-faith infringement. Repeat infringers are subject to account termination and permanent platform ban per 17 U.S.C. § 512(i)(1)(A) requirements.

ROI (Return on Investment): A metric relating campaign outcomes to invested resources; provided for informational purposes only.

Social Media Metrics: Quantitative and qualitative data from social platforms (e.g., reach, impressions, engagement, demographics) used for performance analysis, subject to privacy compliance.

Stripe Connect: Payment processing and onboarding infrastructure used by the Platform for financial transactions, KYC/KYB verification, and commission distribution.

Terms of Service: The binding General Terms of Service (including Annexes and Policies) governing Platform use, under Delaware Law and applicable federal regulations.

Tracking Links: Unique URLs enabling precise tracking of conversions, sales, and engagement for attribution and analytics, subject to privacy safeguards.

Username: The unique alphanumeric identifier chosen by a User during registration that serves as their primary identification on the Platform. Usernames must comply with platform naming guidelines, may not contain offensive language, impersonate others, or infringe IP rights. Each Username is associated with a User account and is non-transferable. Changes to Username may be permitted in specific circumstances as outlined in Section 2.3 of the Terms, subject to availability and compliance review. Username ownership and associated rights are governed by Platform policies and applicable trademark and IP laws.

User-Generated Content (UGC): Content created and posted by Users on the Platform (e.g., comments, reviews, videos, images, promotional materials), subject to moderation and IP policies in Section 5 of the Terms.

Vector Database: Specialized data store enabling multidimensional compatibility analysis and RAG workflows, processing structured and unstructured data for precise matchmaking while maintaining security and privacy safeguards.

Wallet: The digital account management view within a User's profile integrated with Stripe Connect, showing earnings, commissions, transactions, and payment information, maintained in compliance with financial services and data protection requirements.

REGULATORY COMPLIANCE DEFINITIONS

Americans with Disabilities Act (ADA) Compliance: Lovelike's commitment to reasonable accessibility for users with disabilities, implemented via web accessibility standards and assistive technology compatibility.

Anti-Money Laundering (AML): Federal requirements for monitoring and reporting certain transactions, addressed through Stripe Connect's verification and monitoring protocols.

California Consumer Privacy Act (CCPA), as amended by the CPRA: California privacy law governing collection and use of personal information for California residents; compliance described in the Privacy Policy and the Terms (Section 21).

CAN-SPAM Act: Federal law governing commercial email; applicable to communications conducted through or in connection with the Platform.

Export Administration Regulations (EAR): Federal regulations governing export of goods and technology; applicable to certain Love Partners as relevant.

Know Your Customer (KYC) / Know Your Business (KYB): Identity verification requirements implemented via Stripe Connect to comply with financial services regulations and prevent fraud.

Section 230 of the Communications Decency Act: US federal law providing certain liability protections to online platforms regarding third-party content.

Uniform Commercial Code (UCC): State commercial law governing sales transactions, warranties, and commercial relationships; may apply to transactions conducted through Lovelike Shop.

PLATFORM-SPECIFIC COMPLIANCE TERMS

Acceptable Use Policy: The rules governing User behavior, detailed in Section 3 of the Terms and supplemented by Annex VIII.

Business Conduct and Best Practices: Ethical and operational standards required of all Users, with enhanced requirements for Love Partners, as detailed in Annex VIII.

Class Action Waiver: Agreement to resolve disputes individually, as specified in Section 15.2 of the Terms.

Enhanced Due Diligence (EDD): Additional verification for higher-risk accounts or transactions above thresholds, implemented via Stripe Connect and Platform monitoring.

Internal Dispute Mediation: Platform process for resolving disputes between Users (e.g., transactions, campaigns), with decisions binding only for Platform-held funds as detailed in the Terms/Annex IV.

Marketplace Facilitator: Lovelike's role under certain state laws requiring the Platform to collect/remit taxes and/or meet specific obligations for online marketplaces, where applicable.

Rolling Reserve: Risk management hold applied to a percentage of payments for higher-risk accounts, per payment and risk policies.

Security Period: Operational buffer before payout release that allows fraud prevention, dispute handling, and compliance verification, per Annex IV.

FINAL PROVISIONS

Interpretation: These definitions shall be interpreted in accordance with Delaware State Law and applicable US federal regulations. In case of conflict between a definition in this Glossary and usage in the General Terms of Service or other Annexes, the specific context and applicable legal requirements shall prevail.

Updates: This Glossary may be updated periodically to reflect changes in law, regulation, or Platform operations. Updates will be communicated according to the notice requirements specified in Section 20.1 of the General Terms of Service.

Regulatory Compliance: All definitions and their application must comply with applicable federal and state laws, including consumer protection, advertising regulations, data protection requirements, and financial services regulations.
